My Comment
This has been a very slow week. there was only one county meeting and it was not recorded so I don't know what happened.
Next week will be much busier and includes a Special Called meeting of the County Commission on Wednesday the 9th to vote on the proposed Initial Letter of Intent (LOI) from Ascension St. Thomas to purchase Williamson Health. To read the LOI and the resolution to accept it, go here.
This is a very important meeting as we, the commission, will be voting to accept the LOI and move the process forward. I and others have some concerns about this sale and would like to slow it down so that we can get more information and greater clarification on what the offer really entails.
Some important questions, in my opinion, that need to be addressed are:
- What is the County actually going to receive from the $700 million purchase price?
- The LOI allows for debt, retained liabilities, working-capital adjustments, transaction costs, and a $70 million escrow that could materially reduce or delay the amount ultimately available to the County.
- Is $700 million fair value for everything we are giving up?
- The transaction includes the hospital, Bone and Joint Institute, outpatient facilities, joint-venture interests, intellectual property, and County-owned real estate, but the LOI analysis does not establish an independent value for each of those assets.
- What financial obligations and liabilities remain with the County after closing?
- The LOI leaves certain pre-closing liabilities with Williamson Health or the County and also contemplates a long-term County subsidy for EMS, the amount of which is still unresolved.
- Are Ascension’s capital, service, and community commitments truly enforceable?
- Some commitments are subject to Ascension’s normal capital-allocation process, and preservation of certain clinical services is framed in terms of “commercially reasonable efforts” rather than an absolute requirement.
- Who, independent of the buyer and the current transaction process, has verified all of this?
- Commissioners have largely been presented with the results of the process, while several material assumptions and unresolved terms still require independent verification.
- Were the major Williamson Health groups meaningfully included in the process, and do they support the proposed sale?
- Stakeholder support: Whether the main Williamson Health groups were included in the process, had their concerns addressed, and support the sale—especially doctors and clinical teams whose departure could hurt the hospital after the sale.
- What independent review of the LOI was performed before it was presented to commissioners?
- That information is important in understanding whose interests were represented, where the key assumptions originated, and whether the County had its own independent legal and financial review of the proposed terms.
I am aware that the LOI is just a starting point and much has to be done to get to the actual purchase agreement, but I would like to have more clarity up front and would like to see us hire an advisor who is an expert in hospital sales to evaluate our current offer and guide us through the process leading up to the actual purchase agreement. As it stands now, the LOI is calling for a date certain of December 31, 2026, to arrive at the final purchase agreement. That seems rushed to me as it allows less than four months to complete. I support deferring the vote on the LOI until we can get an advisor in place.
To be clear, I am not suggesting that the Hospital Trustees have negotiated a bad deal for the county. What I am saying is that the final vote to sell or not to sell Williamson Health is up to the County Commission and we have a fiduciary responsibility to conduct our due diligence as thoroughly as possible. This is a one- time event that will never happen again, and we need to get it right. Why wouldn't we want to employ every resource possible?
To help you understand the complexity and purpose of the LOI, I am sharing an interchange between one of our commissioners and our legal counsel. This helps to clear up some of the questions, but we still need more of the underlying assumptions. Go here to read the interchange. All the decisions outlined in the exchange will need to be voted on by the full commission and having our own advisor guiding us through the process would give us additional security that we are making the right decision.

The AI program I use is pretty accurate, but it does make mistakes from time to time and I don't always catch them. I provide agendas and videos/audios when I have them available and recommend that you watch the video and follow along with the summary to get the most accurate report.
One of the limitations of AI is that if a participant's name is not called out, then they are listed as participant 1, 2, etc. A limitation with audio, as opposed to video, is that one cannot always identify a person by voice alone. As imperfect as these AI summaries are, they still give a pretty good account of a meeting.
